HAYAWAZA Inc. ("Licensor") grants you a non-exclusive, non-transferable license to use this Software free of charge, subject to the terms of this Agreement. The Software may be used by any number of users and on any number of devices within your organization.
The Software is licensed, not sold. All copyrights, trademarks, and other intellectual property rights in the Software remain the exclusive property of the Licensor.

The Licensor may provide updates or new versions of the Software at its sole discretion. Nothing in this Agreement obligates the Licensor to provide maintenance, support, or updates.
This license terminates automatically if you fail to comply with this Agreement. Upon termination, you must cease using the Software and destroy all copies in your possession.
Notwithstanding the foregoing, if you cure the breach within thirty (30) days after becoming aware of it and notify the Licensor thereof, the Licensor may, at its discretion, agree to reinstate this license.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THE SOFTWARE.
If you breach this Agreement and thereby cause damage to the Licensor, the Licensor shall be entitled to seek compensation for actual damages suffered, including reasonable attorneys' fees and costs incurred in connection with enforcing this Agreement.
This Agreement does not grant, expressly or by implication, any license under any patent held by the Licensor.
If you or your affiliate initiates any legal proceeding (including a counterclaim in a lawsuit) alleging that the Software infringes any patent right held by you or your affiliate, this license shall automatically terminate as of the date such proceeding is initiated.
The Software may include open-source software or other components provided by third parties. The use of such components is governed by their respective license terms, which shall prevail over this Agreement to the extent of any conflict.
A list of such third-party components and their license terms, if any, is made available together with the Software or through the Licensor upon request.
The Software may not be exported or re-exported in violation of any applicable export control laws and regulations, including those of Japan and, if applicable, of the country in which you use the Software.
This Agreement shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of laws provisions.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
The Software requires online registration and license activation prior to use. You are required to submit the following information via the Licensor's designated website: your name, organization, email address, and telephone number.
Upon successful registration, a license number will be sent to the registered email address. You must enter this license number in the Software to activate and use it.
The license number is issued for use by the registered user or organization only, and must not be disclosed, transferred, or otherwise made available to any third party. The Licensor may invalidate any license number found to be misused, shared, or obtained through false registration information.
Personal information collected through the registration process is used solely for the purposes of license management, technical support, and important notices concerning the Software.
The handling of personal information, including the purposes of use, data retention, third-party disclosure, and procedures for exercising the rights of data subjects, is governed by the Licensor's Privacy Policy.
By completing the registration, you acknowledge and agree to the terms of the Privacy Policy.
This Agreement constitutes the entire agreement concerning the Software and supersedes all prior agreements relating to the Software.
